Essential Duties:
As part of Redwood Material’s Legal Team, you will work on a wide variety of ongoing projects related to corporate governance, securities and regulatory compliance, equity and debt financings, commercial and real estate transactions, permitting filings, and other legal team administrative matters. You should have corporate paralegal and legal operations experience working at a law firm and in-house at a start-up environment. This position reports into the Associate General Counsel for corporate and commercial matters.
Responsibilities Will Include:
- Assisting the Legal Team with all aspects of corporate governance and entity management, including management of domestic and international subsidiaries.
- Assist with all stages of venture capital, equity and debt financings, and mergers & acquisitions.
- Providing drafting, research, and organizational assistance to in-house attorneys in the negotiation of corporate and commercial contracts, including supply and licensing agreements, confidentiality agreements, and other transaction documents.
- Assisting with equity administration, including management of Redwood’s equity incentive plan and capitalization table. Proficiency in Carta or other cap table management platforms is preferred.
- Preparing and maintaining electronic data rooms for due diligence; organizing, distributing, and filing transaction documents, managing disclosure schedules and signature pages for closings.
- Assisting with real estate and environmental documents, permits and applications including document review and filings.
- Assisting with the management of legal budgets and vendor relationships, including tracking accruals and invoices and responding to vendor queries; experience with LegalTracker or another legal invoicing tool is preferred.
- Assisting with intellectual property filings and applications, and managing documents related to IP (trademarks, copyrights, patents), ensuring prompt payment of filing fees.
- Utilizing computer skills and technical knowledge to handle and assist with the creation and maintenance of legal records and intranet websites, including working knowledge of DocuSign, Ironclad or other contract management software, and other legal department tools.
- Performing legal and factual research and statistical analyses.
- Interfacing with various internal and external stakeholders to carry out the Legal Team’s objectives.
Desired Qualifications:
- 6+ years of relevant corporate paralegal and legal operations experience.
- Experience working at a law firm and in-house in startups or fast-paced environments.
- Paralegal certificate.
- Experience with LegalTracker, DocuSign, Carta, contract management and repository software (Ironclad, Box, or similar), and MS Office.
- Ability to exercise good judgement, be a team player in rapidly evolving, high-stakes environment.
- Excellent written, verbal, and presentation skills; ability to be clear and concise.

In accordance with California pay transparency laws, the salary range for this position is listed below. Actual compensation may vary based on a variety of factors, including experience, education, and skills.
The position is full-time. Compensation will be commensurate with experience.
