This role will focus on mergers and acquisitions (M&amp;A), corporate governance, finance (including tax equity), and ongoing shareholder engagement following asset rotation. The ideal candidate will bring strong transactional and corporate law expertise, a solid understanding of renewable energy finance structures, and the ability to work cross-functionally in a dynamic environment.  This position is based in Downtown Houston with a hybrid work model of 3 days in the office and 2 days from home.   Key Responsibilities:  Associate General Counsel – M&amp;A, Finance and Corporate provides a broad scope of support to the LCG legal department in support of Renewables NA.  The Associate General Counsel - M&amp;A, Finance and Corporate’s responsibilities include, among other things:  <ul><li>Lead and support legal aspects of M&amp;A transactions, joint ventures, and strategic investments in the renewables sector. </li></ul><ul><li>Draft, review, and negotiate a wide range of corporate and transactional documents, including purchase agreements, shareholder agreements, and operating agreements. </li></ul><ul><li>Manage entity formation, corporate records, resolutions, and other governance documentation. </li></ul><ul><li>Provide legal support for tax equity transactions, including structuring, negotiation, and documentation. </li></ul><ul><li>Serve as the legal interface with new shareholders’ post-asset rotation, ensuring smooth transitions and ongoing compliance with shareholder agreements. </li></ul><ul><li>Advice on corporate structure, compliance, and risk mitigation strategies. </li></ul><ul><li>Collaborate with internal teams including finance, development, operations, and external counsel. </li></ul><ul><li>Other tasks and projects as assigned </li></ul> Requirements:  <ul><li>Juris Doctorate from ABA accredited law school. </li></ul><ul><li>A minimum of 10 years of experience of progressively responsible experience in renewables energy, with a strong focus on M&amp;A, corporate law, and renewable energy finance.  </li></ul><ul><li>Experience with tax equity structures and shareholder relations preferred. </li></ul><ul><li>Strong communication skills and a proven ability to advise business managers on complex legal matters. </li></ul><ul><li>Proven responsibility and organizational and time-management skills. </li></ul><ul><li>Attention to detail and accuracy. </li></ul><ul><li>Excellent written and verbal communication skills. </li></ul><ul><li>Solid computer skills and in-depth knowledge of relevant software, such as MS Office Suite. </li></ul><ul><li>Integrity, good judgment and strong decision-making abilities. </li></ul><ul><li>Careful handling of confidential information. </li></ul><ul><li>Strong information-gathering and information-monitoring skills. </li></ul><ul><li>Initiative and flexibility; and </li></ul><ul><li>Respectful of others and having excellent teamwork skills.</li></ul>Repsol is an Equal Opportunity Employer M/F/Disability/Veteran
