You are primarily responsible for drafting, negotiating, and managing agreements related to engineering, procurement, and construction of utility-scale energy storage projects across the United States. </span></p><br><br><h3>Your Mission:</h3><ul><div><li>Draft, negotiate, and analyze a broad range of commercial contracts, including EPC and EEQ Agreements, LTSAs, Offtake Agreements, Software Agreements, procurement and supplier MSAs, lease agreements, PPAs, consultant agreements, and other origination-related contracts.</li><li>Support project development and acquisition activities by preparing and negotiating interconnection agreements, land and lease agreements, MIPAs, Joint Development Agreements, and Development Services Agreements.</li><li>Support project finance activities by drafting and negotiating financing, tax, and ITC agreements.</li><li>Structure, draft, review, and negotiate a variety of other/related commercial agreements.</li><li>Help to develop form files for repeat transaction types.</li><li>Advise business teams regarding issues that arise during construction, including change orders, waivers and force majeure notices, and after construction, including warranty claims, as necessary.</li><li>Provide timely and efficient commercial legal guidance on a broad range of business topics, including general corporate matters, intellectual property, commercial law, UCC, dispute resolution, commercial liability, and risk assessment.</li><li>Support M&amp;A activities through due diligence and negotiation.</li><li>Manage and partner with a portfolio of external subject-matter expert legal advisors.</li><li>Partner closely with cross-functional teams to ensure alignment on commercial strategy, risk mitigation, and deal execution.</li><li>Help shape a culture of collaboration, innovation, constant improvement, excellence, transparency, open mindedness, humility, integrity, efficiency, joy, compassion, and fulfillment.</li></div></ul><h3>Your Background:</h3><ul><div><li>JD from an accredited law school.</li><li>Member of a state bar in good standing.</li><li>6+ years’ total work experience after law school.</li><li>3+ years' experience with EPC contract drafting and negotiations. </li><li>2+ years’ experience in power generation, renewables, and/or energy storage.</li><li>Past experiences that demonstrate the ability to handle multiple legal matters successfully and efficiently in various legal areas.</li><li>Demonstrated ability to understand and analyze complex legal matters, to concisely summarize significant legal concerns, and to communicate those concerns effectively to businesspeople.</li><li>Direct experience with assessing the level of legal and business risk in developing and communicating alternatives.</li><li><strong>Problem Solving</strong>: You use rigorous logic and methods to solve difficult problems with effective solutions; Energy Vault SA offers an energy storage technology utilizing fundamental principles of science to deliver a storage solution that's as compassionate to the planet as it is efficient to build and operate. The Energy Vault solution utilizes the same fundamentals of physics and kinetic energy as pumped hydro but replaces the water with custom made cylindrical blocks utilizing an extremely innovative use of low-cost materials. The system is modular and can be designed with a capacity of between 10 and 35MWh and a power output of up to 5MW. The system has been designed for a 30+ year life with no degradation in storage capacity.
