<h3>Position Summary</h3>The Corporate Paralegal will support the Legal Department in managing corporate governance, entity formation and maintenance, contract administration, and regulatory filings for a utility-scale solar development company. This role will work closely with internal stakeholders across Development, Finance, Accounting, and Executive Leadership to ensure legal and corporate compliance across a multi-entity structure, including project-level subsidiaries and joint ventures.The ideal candidate is highly organized, detail-oriented, and experienced in corporate entity management, document control, and supporting transactional legal work in a fast-paced environment.<h3>Key Responsibilities</h3>Corporate Governance &amp; Entity Management<ul><li>Form and maintain corporate entities (LLCs, corporations, partnerships) across multiple jurisdictions.</li><li>Manage annual filings, registered agents, and state compliance requirements.</li><li>Prepare and maintain corporate records including operating agreements, bylaws, resolutions, consents, certificates, and minute books.</li><li>Coordinate board and member actions, including meeting notices, agendas, and written consents.</li><li>Maintain organizational charts and entity ownership structures for project subsidiaries.</li></ul>Transaction Support (Solar Development &amp; Project Finance)<ul><li>Support legal counsel in renewable energy transactions, including:<ul><li>Land leases and easements</li><li>EPC and O&amp;M agreements</li><li>Interconnection and utility agreements</li><li>Power Purchase Agreements (PPAs)</li><li>Joint venture and tax equity documentation</li></ul></li><li>Assist with due diligence efforts for acquisitions, project sales, and financing closings.</li><li>Track deliverables and signature packets related to closings and legal milestones.</li><li>Coordinate execution and filing of project closing documents.</li></ul>Contract Administration &amp; Document Management<ul><li>Manage contract lifecycle and document organization using internal systems (SharePoint, contract management tools, etc.).</li><li>Maintain standardized templates, signature workflows, and executed contract archives.</li><li>Support the legal team in contract tracking, renewals, and compliance deadlines.</li><li>Ensure confidentiality and version control across sensitive corporate documentation.</li></ul>Compliance &amp; Regulatory Support<ul><li>Support compliance with corporate policies, internal controls, and governance processes.</li><li>Assist with UCC filings, lien searches, and related documentation as needed.</li><li>Support preparation of responses to audits, lenders, investors, and internal requests.</li><li>Assist with maintaining insurance certificates and vendor compliance documents as required.</li></ul>General Legal Department Support<ul><li>Coordinate with outside counsel on entity filings, litigation holds, and document production requests.</li><li>Support legal invoice tracking and administrative reporting.</li><li>Provide legal administrative support for special projects as assigned.</li></ul><h3>Required Qualifications</h3><ul><li>Associate’s or Bachelor’s degree (Paralegal Certificate preferred).</li><li>3+ years of experience as a corporate paralegal or legal operations professional.</li><li>Experience supporting corporate governance and maintaining multi-entity structures.</li><li>Strong knowledge of entity formation, corporate filings, and legal documentation.</li><li>High proficiency with Microsoft Office (Excel, Word, Outlook) and document management tools.</li><li>Excellent organizational skills and attention to detail.</li><li>Ability to manage multiple deadlines and shifting priorities in a fast-paced environment.</li><li>Strong written and verbal communication skills.</li></ul><h3>Preferred Qualifications</h3><ul><li>Experience in renewable energy, construction, infrastructure, real estate, or utility-scale development industries.</li><li>Familiarity with project finance structures (tax equity, debt financing, joint ventures).</li><li>Experience supporting land agreements (leases, easements, title matters).</li><li>Experience with contract lifecycle management tools (Ironclad, DocuSign CLM, Conga, etc.).</li><li>Knowledge of UCC filings and lien search processes.</li><li>Experience working with outside counsel and multi-state legal compliance.</li></ul>
